PostNL publishes agenda for the Annual General Meeting of Shareholders 2021
9 March 2021 – The Hague – The Annual General Meeting of Shareholders of PostNL N.V. will be held on 20 April 2021. Due to Covid-19 the meeting will be held fully digitally. Included on the agenda are, among others, a number of proposed appointments, the discussion of the annual report, the approval of the financial statements and the proposed dividend of €0.28 over the financial year 2020.
As announced previously the Supervisory Board nominates Koos Timmermans and Nienke Meijer as members of the Supervisory Board for a period of four years, replacing Thessa Menssen and Eelco Blok. Jan Nooitgedagt, chair of the Supervisory Board: “We are very pleased to be able to nominate two candidates with a background and experience which fit very well with the company, its strategy and long term ambition. I am grateful for the contributions by Thessa and Eelco to the Board during their membership of the board.”
Furthermore, the Supervisory Board proposes to reappoint Agnes Jongerius as member of the Supervisory Board, to reappoint Ernst & Young Accountants LLP as accountant for the year 2021, to appoint KPMG Accountants NV as accountant as from the year 2022, and to adopt the dividend proposal over 2020.

Dividend
If the above dividend proposal is adopted, the shares will be traded ex-dividend as of 22 April 2021. The dividend record date will be 23 April 2021. Shareholders will be given the opportunity to make their choice between cash and shares from 26 April 2021 up to and including 11 May 2021, 3:00 pm CET. If no choice is made during this election period, the dividend will be paid in cash. The shares to be issued as stock dividend are paid out of additional paid in capital as part of the distributable reserves, free of withholding tax in the Netherlands. The number of share dividend rights entitled to one new common share will be determined based on the volume-weighted average price of all traded PostNL ordinary shares at Euronext Amsterdam on 7, 10 and 11 May 2021. The value of the stock dividend, based on this VWAP, will, subject to rounding, be targeted at but not be lower than the cash dividend. There will be no trading in stock dividend rights. The dividend will be payable as of 14 May 2021.
